Trekside Group announced on Oct. 26 that it signed a revised, non-binding letter of intent with DataVault AI, Stemedix Holdings, and Data Health Partners to license and acquire prescription telehealth, medical drone, and healthcare blockchain intellectual property, targeting a transaction closing in the fourth quarter of 2026, stock.mk.co.kr reported.
Trekside Group Reaches New Agreement With Data Health Partners
The Oct. 19 agreement replaces a prior modified letter of intent from July 29 that expired on Sept. 30. Data Health Partners joined the renewed pact, which Trekside Group described as progress in building out its healthcare ecosystem. The company cited the launch of the Health Lives Here mobile app developed in collaboration with NFL Alumni Health, the acquisition of cancer diagnostics AI lab Helomics, and the licensing of core IP from Data Health Partners subsidiary Reboot as prior steps leading to the current transaction.
Five Core Assets Comprise the Proposed Acquisition
The transaction encompasses five distinct components. First, Trekside Group expands its existing PharmacyChain license with DataVault AI to exclusively include DataVault AI’s broader healthcare IP, excluding medical imaging already licensed to Vivasor, biotechnology fields licensed to Stemedix, and diagnostics fields licensed to Quantum Scan Holdings. Second, the company acquires QOLPOM intellectual property from EOS Technology Holdings for biometric verification of patients receiving home-delivered medications via unmanned drones. Third, Trekside Group acquires QOLPOM wearable-based biometric drug-efficacy tracking IP from Stemedix. Fourth, it secures an exclusive license from Data Health Partners for patient outcome, goal-setting, progression, and achievement IP tied to home and drone medication delivery. Fifth, it acquires a controlling stake in Tollo Health from Healthbridge Advisors.
Tollo Health Produces Medical Foods and Supplements
Tollo Health manufactures medical foods and dietary supplements targeting GLP-1-related muscle loss and acute or chronic viral infection syndrome management. The portfolio includes medical foods for muscle-loss dietary management such as Forzet and Galectovid, alongside exclusive rights to the 3CL protease inhibitor Tollovid. Trekside Group subsidiary Corexa Health currently supplies select products through a wholesale distribution model backed by a national network of 6,500 independent pharmacies.
Participating Entities Hold Multiple US Patents
The transaction outlines specific intellectual property holdings across participating entities. The Reboot portfolio comprises six issued U.S. patents—including numbers 10,061,812, 11,144,554, and 11,151,142—alongside six pending patent applications. The EOS portfolio holds patents numbered 12,040,088, 11,593,764, and 12,657,554. Stemedix contributes biometric data collection patent number 11,437,139, while DataVault AI includes patent number 12,100,025 among its targeted assets, with final patent schedules to be determined in definitive agreements. Citing Research and Markets data, Trekside Group projected that the target market will grow from $9.6 billion in 2025 to $93.4 billion by 2035.
Executive Leadership Perspectives on Digital Health
Gerald Commissiong, interim co-CEO of Trekside Group, stated that the company envisions a future where patients set goals and achieve them using combined physical and digital healthcare infrastructure. Paul Arena, CEO of Data Health Partners, noted that the agreement prepares for shifts in medical delivery models such as drone shipping while generating de-identified real-world evidence with patient consent to provide value to pharmaceutical companies. Nathaniel Bradley, CEO of DataVault AI, confirmed participation through equity involvement and technology royalties targeting a fourth-quarter closing.
Transaction Conditions and Regulatory Hurdles
Closing the transaction remains subject to several conditions. The letter of intent is non-binding and requires final contract execution, due diligence, a fairness opinion, meeting Trekside Group’s unpaid liability limits, and a change-of-control review under Nasdaq Rule 5110(a). The company stated that neither contract execution nor transaction completion is guaranteed, though a majority of Trekside Group shareholders have approved draft final contracts pending satisfactory executive due diligence.
Shareholder Equity Faces Potential Dilution
Trekside Group noted in forward-looking statements that existing shareholder equity could experience significant dilution following the transaction. The agreement also carries related-party characteristics: interim co-CEO Gerald Commissiong serves concurrently as CEO of Tollo Health, while Nathaniel Bradley serves as CEO of DataVault AI and EOS. Additional risk factors include Federal Aviation Administration and state pharmacy regulations governing drone and automated drug delivery, Health Insurance Portability and Accountability Act privacy standards regarding health data collection, monetization, and tokenization, and regulatory labeling requirements for medical foods and dietary supplements. The announcement did not disclose financial earnings or specific transaction values.
