They ask the City Council to clarify the golf course agreement

The Board of Directors of Club de Golf Soria, SA has convened the General Shareholders’ Meeting for next Thursday, June 8, while the monitoring of several members continues, for the alleged non-payment of fees, which in turn have sued the Soria City Council that clarifies various points of the Pedrajas golf course.

It will take place at the Club headquarters, on the aforementioned day 8 at 7:00 p.m. and if there is no quorum the following day at the same time.

For some shareholder partners, the date has caused some strangeness since the call has been made for a Thursday when it was traditional for it to be held on Saturdays, thus making it possible for the maximum number of shareholders to attend.

The first item on the agenda is the approval of the 2022 annual accounts, management report and application of results.

The second point would be the delegation of powers to carry out the agreements of this Board. Finally requests and questions.

In another order of things, the monitors that the Board of Directors has promoted against some shareholders for the alleged non-payment of quotas.

Several orders for payment are already processed in the Courts, with the novelty that the defenses of some of the shareholders have required the Court for the City Council to clarify and respond in writing about the ownership of the golf course, whether or not there is a written agreement between the City Council and the Club de Golf Soria, SA, for the exploitation of the course and if it is of a public and municipal nature or not.

Health insurance

As will be recalled, since the agreement was published in its entirety by this newspaper, the Soria City Council, with José Javier Jiménez Vivar being mayor, signed an agreement with the Tierras de Soria Golf Foundation, represented by the president of this Foundation, the late Emma Villacieros Machimbarrena.

This agreement was signed on May 13, 1999 and which also includes the signature of the then General Secretary of the City Council, Manuel González Pérez.

But on the same May 13, 1999, the president of the Foundation signed a collaboration contract with the then president of the Soria Golf Club, SA, Jesús Sánchez Soria.

But it was not until the end of January 2022 when the vast majority of shareholders learned of the agreement, leaked from the City Council, and began to ask the various Councils and City Council for explanations.

And it was the Board that provided a shareholder who requested it with the Foundation’s collaboration contract with the Club de Golf Soria, SA

Subsequently, some shareholders registered petitions addressed to the mayor of Soria at the City Council. Carlos Martínez, to clarify the situation, given that, among other things, the subrogation of said agreement was not allowed or included.

The field would be of a public and municipal nature and the statutes would have to be approved by the City Council.

In addition, the City Council is responsible for the functions of control and supervision of this agreement and field.

And that is why even the shareholders asked the City Council to intervene in the golf course, but the mayor did not respond.

Quota claim

Now several shareholders have received through these monitorios the claim for quotas for an average of more than four thousand euros, including invoices from the last five years that they had never received.

In the Land Registry there is no record of who is the plot that occupies the golf course.

The lawyer of one of the partners required in the order for payment has requested, in the Court of First Instance and Instruction Number 2 of Soria, that the Soria City Council respond in writing to whether there is an agreement signed between the Soria City Council and the Golf Tierras Foundation de Soria, for the construction and operation of a golf course and, in the event of an affirmative response, has claimed the date of the subscription.

It has also requested that the City Council answer whether it is true that the golf course located on the Pedrajas and Oteruelos road is municipally owned and of a public nature and whether there is an agreement and/or agreement signed with the plaintiff Club de Golf de Soria A SA for the exploitation of the golf course.
